Female quotas for the first two management levels

Below the Executive Board of Rheinmetall AG and below the Boards of Rheinmetall AG subsidiaries subject to co-determination

a) 1 July 2022 to 30 June 2027

For the first two management levels below the Executive Board of Rheinmetall AG and below the managing bodies of subsidiaries of Rheinmetall AG that are subject to co-determination, the following targets regarding the female quota for the period 1 July 2022 to 30 June 2027 were determined:

b) 1 July 2017 to 30 June 2022

For the first two management levels below the Executive Board of Rheinmetall AG and below the management bodies of subsidiaries of Rheinmetall AG that are subject to co-determination, the following targets regarding the female quota for the period 1 July 2017 to 30 June 2022 were determined:

On the first management level below the Executive Board or Boards, the targets for the female quota for the period from 1 July 2017 to 30 June 2022 have been met or exceeded by Rheinmetall AG, Rheinmetall Electronics GmbH, Rheinmetall Landsysteme GmbH, KS Kolbenschmidt GmbH, KS Gleitlager GmbH and Pierburg Pump Technology GmbH.

On the second management level below the Boards, the targets for the female quota for the period from 1 July 2017 to 30 June 2022 have also been met or exceeded by Rheinmetall Electronics GmbH, KS Gleitlager GmbH, KS HUAYU Alutech GmbH and Pierburg Pump Technology GmbH.

bb)

Rheinmetall Waffe Munition GmbH, Pierburg GmbH and KS HUAYU Alutech GmbH have not met the targets for the female quota on the first level below the Boards between 1 July 2017 and 30 June 2022.

Rheinmetall AG, Rheinmetall Landsysteme GmbH, Rheinmetall Waffe Munition GmbH, Pierburg GmbH and KS Kolbenschmidt GmbH have also not met the targets set for the female quota on the second level below the Executive Board or Boards between 1 July 2017 and 30 June 2022.

There are several reasons for the aforementioned companies not having met the targets as of 30 June 2022. At Rheinmetall, vacancies are filled with the most suitable candidate in terms of skills and personality, without regard to gender, and without regard to the targets set. Executives are not replaced only because of gender.

With the exception of Rheinmetall AG as a holding company, candidates with an engineering background and long-term professional experience are sought for the first two management levels below the Boards of the aforementioned companies operating in the defence and automotive supplier industries. Females who meet these requirements, both internally and externally, are rare, rendering attempts to fill these –newly created or existing– positions unsuccessful. While our HR development departments and our internal recruiting centre make great efforts, there are only a few, and sometimes no suitable female candidates for such executive positions.

Another major reason for not meeting the targets set for Rheinmetall AG, Rheinmetall Waffe Munition GmbH, KS HUAYU Alutech GmbH and KS Kolbenschmidt GmbH was a uniform, Group-wide definition of the two executive levels below the Executive Board or Boards as management levels, affecting all companies with set targets. In the definition of management levels used at these companies at the time of setting the targets on 1 July 2017, the targets set for 30 June 2022 would have been met or exceeded.

Moreover, at Rheinmetall Waffe Munition GmbH, several females left the first two management levels below the Board. Some of these positions were not filled due to structural changes involving consolidating measures, and no suitable females were found internally or externally for the positions that were filled. Likewise, females left the first management level below the Board at KS HUAYU Alutech GmbH, and the second management level below the Board at KS Kolbenschmidt GmbH. No suitable female successor was found for KS HUAYU Alutech GmbH, whereas the position at KS Kolbenschmidt GmbH was not filled at all.

Since Rheinmetall Automotive AG was not subject to co-determination, and also not listed, as of 30 June 2022, no targets for the two levels below its Executive Board need to be reported on. Moreover, it did not have any employees at this stage.
