Rheinmetall  /  Company  /  Corporate Governance  /  Female quotas  /  Rheinmetall AG‘s Executive Board

a) 1 July 2022 to 30 June 2025

For the period from 1 July 2022 to 30 June 2025, Rheinmetall AG's Supervisory Board resolved that Rheinmetall AG's Executive Board shall have at least one female member.

This exceededs statutory requirements, which mandate the appointment of at least one female member on executive boards comprising more than three members. This applies to listed companies subject to the German Participation Act (Mitbestimmungsgesetz).

As Rheinmetall AG's Executive Board has had four members since 1 January 2025, the Supervisory Board is no longer required to define a quota under (5) sentence 9 of the German Stock Corporation Act (AktG), and no report on target achievements need to be drafted. The statutory minimum quota under Section 76 subsection 3a sentence 1 of the German Stock Corporation Act (AktG) applies, providing for at least one female and one male on the Executive Board.

b) 1 July 2017 to 30 June 2022

For the period from 1 July 2017 to 30 June 2022, Rheinmetall AG's Supervisory Board set a target for female members on Rheinmetall AG's Executive Board of 0%. This target was met as of 30 June 2022.
