Boards of Rheinmetall AG subsidiaries subject to co-determination

a) 1 July 2022 to 30 June 2027

For the period from 1 July 2022 to 30 June 2027, the following targets for female members of the Boards have been set for subsidiaries of Rheinmetall AG that are subject to co-determination:

*KS Kolbenschmidt GmbH is not subject to co-determination as of 10 August 2024. Therefore, a target achievement does not have to be reported any more.

The female quota of the Boards of the aforementioned companies was 0% as of 30 June 2022. From the point of view of the shareholders‘ meetings of these companies and Rheinmetall Landsysteme GmbH‘s Supervisory Board (which is responsible for determining the quotas for that company‘s management), Boards comprised the best candidates as of 30 June 2022. It is in the business interests of the Rheinmetall Group to ensure continuity in terms of management staffing. Changes based on gender only are therefore not made in this respect. Against this background, and from today‘s point of view, Rheinmetall relies on its current, male staff beyond 1 July 2022, and at least until 30 June 2027.

At Rheinmetall, vacancies are filled with the most suitable candidate in terms of skills and personality, without regard to gender. In spite of this, management positions in the defence and automotive industry usually require long-term as well as international experience and industry-specific knowledge. Moreover, a technical-oriented vocational training is usually a requirement or asset for non-clerical positions. In our experience, the number of available suitable female candidates, both internally and externally, is low. Recruiting such females could not be planned in a reliable manner.

b) 1 July 2017 to 30 June 2022

For the period from 1 July 2017 to 30 June 2022, the following targets for female members of the Boards, as well as Rheinmetall Automotive AG’s Executive Board, have been set for subsidiaries of Rheinmetall AG that are subject to co-determination:
