Female quotas for the Supervisory Boards of Rheinmetall AG subsidiaries subject to co-determination

a) 1 July 2022 to 30 June 2027

For the period from 1 July 2022 to 30 June 2027, the following targets for female Supervisory Board members have been set for subsidiaries of Rheinmetall AG that are subject to co-determination:

Rheinmetall Electronics GmbH, Rheinmetall Landsysteme GmbH and Rheinmetall Waffe Munition GmbH have met or exceeded the targets for female Supervisory Board members between 1 July 2017 and 30 June 2022.

Pierburg GmbH, Pierburg Pump Technology GmbH, KS Kolbenschmidt GmbH and KS Gleitlager GmbH have not met the targets for female Supervisory Board members between 1 July 2017 and 30 June 2022. The reason was a long-serving and experienced female executive who left and had served on these Supervisory Boards for the shareholders’ side. On the shareholders‘ part, Supervisory Board members of subsidiaries of Rheinmetall AG are usually drawn exclusively from existing, highly-qualified staff from different areas of the Rheinmetall Group, who assume office on top of their main duties. Appointments are based on technical and personal skills, not gender. Upon thorough review, it was concluded at the aforementioned companies‘ shareholders‘ meetings that there was no suitable internal female candidate who could have met this additional duty technically and timewise. At Pierburg GmbH, two more female Supervisory Board members, who represented the employees‘ side, left; only one female was elected in the course of the 2018 employee representatives‘ elections for that Supervisory Board.

KS HUAYU Alutech GmbH has also not met the targets for female Supervisory Board members between 1 July 2017 and 30 June 2022 since this joint undertaking‘s joint shareholder, in exercising their rights, appointed a male to succeed a former, female Supervisory Board member. Rheinmetall has no influence over decisions of the joint shareholder. On Rheinmetall‘s shareholder side, there was no suitable internal female candidate with the experience necessary for such a complex, international joint undertaking.

As employee representatives are democratically elected by the employees, the shareholders have no influence over nominating and electing candidates, and thus no influence over female quotas among employee representatives.

Since Rheinmetall Automotive AG was not subject to co-determination, and also not listed, as of 30 June 2022, no targets need to be reported on.
